This development reflects Doofus’ commitment to strengthening governance practices and fostering robust oversight across key areas of its operations.
The Audit Committee consists of Christopher (Chris) Ernst van Rooyen, Partha Debnath, and William Charles Fritchie, who will serve as Chairman. This committee oversees the Corporation’s financial reporting processes, internal controls, and audit functions.
The Compensation Committee comprises Chris van Rooyen, Partha Debnath, who will serve as Chairman, and William Fritchie. This committee focuses on matters related to executive compensation, incentive plans, and employee benefit programs.
The Nominating and Corporate Governance Committee is composed of Chris van Rooyen, who will serve as Chairman, Partha Debnath, and William Fritchie. This committee addresses board nominations, corporate governance practices, and related oversight responsibilities.
Each committee operates under its respective charter, as adopted by the Board of Directors, ensuring alignment with the Corporation’s bylaws, applicable laws, and best practices in corporate governance.
The Corporation has also appointed Chris van Rooyen as Lead Independent Director, effective January 20, 2025. In this role, Chris provides independent leadership to the Board, ensuring effective governance and alignment with shareholder interests.
